Circumstances signifying acceptance of Terms of Use
Users (the "Users") of the Website shall be deemed to have accepted the Terms of Use and agreed to adhere to the same by accessing the Website or using the products or services provided in the Website whether or not the User accesses the products or services available on the Website or consummates a transaction on the Website, including without limitation, during:

For the aforementioned purposes, the Parties hereby agree that these Terms of Use are being concluded and executed at Kolkata (wherein the registered office of SEPL is situated).
Terms of Use – a valid contract
- The Terms of Use shall be deemed to be a valid contract executed in terms of the Indian Contract Act, 1872 (the "Contract Act") read with the provisions of the IT Act, between the User and SEPL. Subject to the terms of the Terms of Use contained herein, by the access and use of this Website, the User acknowledges the completion of an offer and acceptance as regards this Terms of Use and the execution of a valid contract between SEPL and the User in terms of the extant provisions of the IT Act and the Contract Act.
Minor not to be a party to the Contract
- By the access and use of this Website, the User shall be deemed to be competent to contract in accordance with the provisions of the Contract Act. The use of this Website by any person not competent to contract under law shall be void and SEPL shall not be liable to perform its obligations under the Terms of Use in such circumstances. Persons who are "incompetent to contract" within the meaning of the Contract Act including minors, un-discharged insolvents etc. are not eligible to use the Website. A minor i.e. under the age of 18 years, shall not register as a User of SEPL’s Website and shall not transact on or use the Website. If a minor, wishes to use or transact on this Website, such use or transaction may be made by the legal guardian or parents of the minor on the Website. SEPL reserves the right to terminate your User Account and/or refuse to provide you with access to the Website if it is brought to SEPL's notice or if it is discovered that you are under the age of 18 years or otherwise legally incompetent to contract.

TERMS OF USE: USERS RESPONSIBILITIES & OBLIGATIONS
Information provided
- The User shall be responsible for maintaining the confidentiality of his/her Display Name and Password and the User shall be responsible for all activities that occur under his/her Display Name and Password. The User agrees that if the User provide any information that is untrue, inaccurate, not current or incomplete or SEPL have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with this Terms of Use, SEPL shall have the right to indefinitely suspend or terminate or block access of the User Account on the Website and refuse to provide the User with access to the Website.
- The User shall provide true, accurate, current and complete information while submitting the order offered by the Website.
- The User shall update registration information on the Website from time to time. In the event SEPL has information to believe that the personal information provided by a User is false or such personal information is being provided to conduct a fraudulent transaction, SEPL reserves the right to cancel any Request for Further Information or any order placed by the User in relation to the Business or terminate the Users’ access to the Website without any notice.
- The User shall provide authentic and true information in all instances where such information is requested by SEPL. SEPL reserves the right to confirm and validate the information and other details provided by the User at any point of time. If upon confirmation the User’s details are found not to be true (wholly or partly), SEPL has the right in its sole discretion to reject the registration and prohibit the User from using the services offered by the Website.
- In the event there is a failure of delivery in case of a Request for Further Information or in case of an order placed in relation to the Business of SEPL through the Website, due to incorrect information supplied by the User, SEPL shall be not be liable for the same and shall be further entitled to receive payments for additional costs incurred by SEPL due to such inaccurate information.
User’s Actions
- The User shall not make any negative, denigrating or defamatory statement(s) or comment(s) about SEPL or the brand name or domain name used by SEPL or otherwise engage in any conduct or action that might tarnish the image or reputation of SEPL or otherwise tarnish or dilute any of SEPL’s trade or service marks, trade name and/or goodwill associated with such trade or service marks, trade name as may be owned or used by SEPL. The User agrees that the User will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Website or SEPL's systems or networks, or any systems or networks connected to SEPL.

Compliance with Statutes

- violates any law for the time being in force;

- impersonate another person;
- contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;

Notwithstanding the foregoing, the Terms of Use set out herein shall, without exception, be applicable at all times to any purported transaction(s) approved by acceptance of an order already placed by the User on SEPL.
SEPL’s Right to Terminate
- SEPL may add, alter, amend and/or modify this Terms of Use at any time without any requirement of any notice and may terminate this Terms of Use at any time and may do so immediately without notice in case of misuse of the Website by the User, and accordingly deny the User access to the Website. Indemnity by the User

Upon SEPL’s giving a notice to the User of any claim that may arise on account of this clause, the obligation of the User to make the payment shall become due and payable upon receipt of the notice . Further, any delay in making any claims or giving a notice does not relieve the User of such obligation.

Governing Law
